Board Meeting Minutes

 

February 20, 2007

President Karen Davis called the meeting of the Board of Directors of the Concert Singers of Cary to order at 7:34 PM on Tuesday, February 20, 2007 at Page Walker.

Seven of the voting board members were initially present; therefore a quorum was constituted (need 5). The following lists show:

A report from Executive Director David Lindquist was submitted in advance of the meeting and posted to the web site. The December board meeting minutes were accepted as submitted.

Treasurer’s Report

 

1.        Financials posted. January statements look good.

 

Audit report:

2.        Clean audit

3.        We are writing off sheet music depreciation over a three year period to clean up financial reports; in the future we will expense musical scores so they do not need to be depreciated.

4.        Made $5 for the year 2005-2006, but this includes the first year of depreciating sheet music.

5.        We need to post the 990 on web site

 

The Board reviewed the management letter.

 

The Board discussed the auditor relationship.

 

New financial position proposal:  purchase work from a financial secretary to allow the treasurer to focus on big picture issues. Treasurer serves on Board. Financial secretary is not on the Board. Discuss again at s future meeting. If done, we recommend beginning on July 1, 2007. Will discuss further at next meeting.

 

Musicales: 

We will have only one event this year held at Vespa’s on 4-22-07. CVU will do the a cappella vocal jazz from last year’s concert. The Board President will meet with Ashworths and Vespa owners Friday to settle details.  Price for tickets will also be determined on Friday.

 

The Board considered the notion that one of the six helpers wanted for next year’s musicales might earn their virtuoso credit.  Need to talk more about the future of Musciales at another meeting.

 

Executive Director’s Report

 

CSC has had their charitable solicitation license renewed, extended to November to get back on the usual schedule. Town of Cary grant application is in.

 

Board and CC nominations and processes—it was assumed if these members are in the first year of a two year term that they are returning. We think two people are needed for the Board, and someone needs to be willing to be secretary. We need names of folks. We would really like to expand the number of our community members on the Board. Need to take slate forward 4-16. On March 20 meeting need to finalize the slate.

 

Artistic Director’s Report

 

We are working on the 3-31 concert. Sound is excellent. The Artistic Director will pull the repertoire from the 2nd half of the CVU concert from last June for the Vespa program. CVU will also participate in Cary Performs 4-15-07, 1 – 3 pm at some point for 20-25 minutes. This is a kick off of the Sertoma Series, free to audience, and a good time to promote our Memorial Day concert.

AD is putting next season together, including some collaboration with RSO. He is looking at a theme including cinema for the season.

 

We postponed idea group sharing due to lack of time.
